Terms of Use.

Note: This is an initial draft prepared for the pre-launch Meridian site. Before launching publicly or signing customer agreements, these Terms should be reviewed and adapted with qualified legal counsel for the relevant jurisdictions and any commercial product offering.

These Terms of Use ("Terms") govern your access to and use of trymeridian.io (the "Site"), operated by Meridian Systems ("Meridian," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

Use of the Site

You may access and use the Site for lawful, informational purposes consistent with its intended use. You agree not to:

Reverse engineer, scrape, harvest, or extract content from the Site by automated means without our prior written consent.
Use the Site to transmit malicious code, interfere with its operation, or attempt to gain unauthorised access to any part of it.
Impersonate any person, misrepresent your identity, or provide false information when joining the waitlist or otherwise communicating with us.
Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with another party's use of it.
Use the Site to violate any applicable law or regulation or any third-party rights.

Intellectual property

The Site and all content displayed on it — including text, graphics, logos, illustrations, software, and design — are the property of Meridian Systems or its licensors and are protected by intellectual property laws. Except for the limited right to view the Site for personal or internal business use, no rights are granted to you by these Terms. The Meridian name and any associated marks may not be used without our prior written consent.

No commitment to provide products or services

The Site describes a forthcoming product. Nothing on the Site constitutes a binding offer, commitment, or guarantee to provide any product, service, feature, or pricing. Product descriptions, capabilities, timelines, and roadmap items are subject to change without notice. Joining the waitlist does not create an obligation on the part of Meridian to provide access to any product.

Disclaimers

The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Meridian Systems, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or in connection with your use of the Site, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Meridian has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Meridian Systems, its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of any third party.

Third-party content

The Site may contain links to third-party websites or resources. Such links are provided for convenience only. Meridian does not endorse and is not responsible for the availability, content, or practices of any third-party site or resource.

Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice and without liability.

Governing law

These Terms are governed by the laws of the jurisdiction in which Meridian Systems is established, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for any dispute arising under or in connection with these Terms.

Changes to these Terms

We may revise these Terms from time to time. The "Effective" date above will reflect the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
